| NetConnect Internet Banking Agreement |

Please review this disclosure before applying for American State Bank & Trust Company''s Internet Banking Service (NetConnect). You must press the "I have read and agree to the disclosure" at the end of this agreement to continue.
Acceptance of Agreement constitutes your written signature and approval of, and agreement to be bound by, the terms of this Agreement. By enrolling in American State Bank & Trust Company''s Internet Banking Service (NetConnect), you agree to the terms of this agreement. If you have submitted your application as a consumer, you also agree to the terms of this agreement applicable to the "Deposit Account Agreement" and the "Electronic Funds Transfer" disclosure and further agree that you will use the service only for personal accounts and only for personal, family or household purposes. If you are a business and wish to apply for NetConnect, we ask that you visit the American State Bank & Trust Company and fill out the appropriate documentation. American State Bank and Trust Company allows you to transfer funds and review account activity using a personal computer (PC). We have the right to change the Agreement and applicable fees at any time by notice mailed or emailed to you at the last address or email address shown for you on our records. The notice will be sent at least thirty (30) days in advance of the effective date. You may choose to accept or decline changes by continuing or discontinuing the accounts or services to which these changes relate. Changes to applicable fees are governed by the Schedule of Fees. |

| Section 1. Definitions |
| "Account(s)" means the deposit, loan and other accounts you have at American State Bank & Trust Company to which you have access through NetConnect. "Business Days" are Monday through Friday, except bank holidays. "You" and "your" refers to the person(s) or entity subscribing to or authorized to use Online Banking; "we," "us", "our" and "Bank" refers to American State Bank & Trust Company. "NetConnect" is American State Bank & Trust Company''s customized name for "NetTeller" which is referenced in the Internet banking product. |
| Section 2. NetConnect |
|
NetConnect is an electronic banking service available to you through a PC using an access method specified in Section 3. You may use NetConnect to check the balance in and recent activity of each of your Accounts and to transfer funds between your Eligible Accounts (see Section 6).
The accounts to which you may have access through NetConnect are your checking accounts, savings accounts, installment loan accounts, mortgage loan accounts, certificate of deposit accounts, and individual retirement accounts. The number of accounts that you may view if they are NetConnect enabled is unlimited. Accounts you open after enrollment in NetConnect may be added at time of opening or at a later date. In order to subscribe to the service, you must have at least one account with us. You must be an authorized signer of each account accessed through NetConnect. |
| Section 3. Access Methods |
| To use NetConnect, you need a personal computer ("PC") with a modem and a web browser, such as; Netscape Navigator® 4.06, Microsoft Internet Explorer® 4.0, (or an equivalent) or other Internet-enabled device ("Web Access Device"), all with 128-bit encryption. The Internet web site for NetConnect is located at http://www.asbt.com or such other Internet addresses as we may provide. Information is not stored on your PC unless you specifically download it to your PC. |
| Section 4. Adding, Changing and Removing Accounts |
| If you wish to add an Account, or remove an Account, you may notify us at American State Bank & Trust Company at 1-701-774-4100, email us at netconnect@asbt.com or contact a Customer Service Resprentative through the Bank''s website. You must be an authorized signer to request this. |
| Section 5. Your Logon ID and PIN |
|
To access NetConnect you will need a NetConnect ID and a Personal Identification Number (PIN). You will receive your assigned ID from the Bank. Your initial PIN will be the last four digits of the primary account holder''s social security number. YOU WILL BE REQUIRED TO CHANGE YOUR PIN THE FIRST TIME YOU LOGIN TO NETCONNECT. You can change your ID and PIN on NetConnect at any time and we recommend that you change it at least quarterly. Note: Never use a "Save Password" feature if offered by your browser. This would allow anyone who opens your browser access to your account information without needing a password.
You authorize us to follow any instructions entered through NetConnect using your Logon ID and PIN and agree to be responsible for any transaction or inquiry that is processed in good faith. Because your NetConnect ID and PIN can be used to access money in any of the linked accounts and to access information about any of your linked accounts, you should treat your NetConnect ID and PIN with the same degree of care and secrecy that you use to protect other sensitive financial data. You agree not to give your NetConnect ID or PIN, or make them available, to any other person. Note: Account access through NetConnect is separate and distinct from your existing signature arrangement for your accounts. Therefore, when you give an individual the authority to access accounts through NetConnect, that individual may have access to one or more accounts to which that individual would not otherwise have signature access. You assume the entire risk for the fraudulent, unauthorized or otherwise improper use of your password. NetConnect will be entitled to rely on the genuineness and authority of all instructions received by it when accompanied by such password, and to act on such instructions. If you believe your NetConnect password has been lost or stolen or that someone has transferred or may transfer funds from your account without your permission, call 701-774-4100. You also need to secure your NetConnect account by changing your Login and/or PIN passwords. Simply logon to your NetConnect account, go to Home Banking Management, Create/Change NetTeller ID (Alias) and Change NetTeller PIN. |
| Section 6. Transfers |
|
Transfers may be made between Eligible Accounts. An "Eligible Account" is an Account linked to NetConnect that does not have withdrawal restrictions (a certificate of deposit or IRA would not be eligible). Loans are limited "Transfer to" transactions. You cannot transfer funds "from" these types of accounts.
To schedule a transfer of funds between Eligible Accounts, you must provide the Eligible Accounts from and to which the transfer is to be made and the amount to be transferred. Any attempted transfer which exceeds the available balance in the Eligible Account from which the funds are to be transferred will not be made. |
| Section 7. Availability of Funds |
| Please refer to our funds Availability Policy disclosure as to when funds will be available from items deposited. This disclosure contains important information about additional matters such as special rules for new accounts and delays that may be imposed on the availability of certain deposits. |
| Section 8. Limitation on Transfers |
| Transfers conducted via NetConnect are subject to all withdrawal and transfer limitations as described in the "Truth-in-Savings" disclosure. |
| Section 9. Timing of Transfers |
| Transfers of available funds may be made any day at any time. If we receive your fund transfer request before 6:00 p.m. CST on a Business Day, the transfer will be processed that day. After 6:00 p.m., the transfer will be processed on the following business day. Transfers cannot be canceled after the instruction is sent to us as they are processed immediately. |
| Section 10. Reviewing Transfers |
| NetConnect automatically includes records of past transfers as part of your account activity that can be displayed online. |
| Section 11. Balance Inquiries |
| You may use NetConnect to check the balances and recent activity of your accounts. Any balance shown by NetConnect will include a date as of which the balance is current. The balance shown by NetConnect may not be your actual available balance. It may include deposits still subject to verification by us. The balance shown may also differ from your records because it may not include deposits in progress, outstanding checks, or other withdrawals, payments, or charges, or items in process. |
| Section 12. Statements |
| All of your transfers made through NetConnect will appear on your monthly Account statement(s). The transfer amount and date will be reflected for each transfer made through NetConnect. You may view your current monthly activity on-line. |
| Section 13. Electronic Mail Messages |
| NetConnect provides you with the ability to send electronic mail messages within the service to communicate information to us. Email transmissions are not secure. We request that you do not send us or ask for sensitive information such as account numbers, passwords, etc., via email. Please remember that electronic mail messages sent through NetConnect may not be immediately received by us. |
| Section 14. Fees |
| There is no regular service charge for NetConnect Internet Banking. New services may be introduced for NetConnect Online Banking from time to time. The Bank will notify you of the existence of these new services. By using these services when they become available, you agree to be bound by the rules that will be made available to you concerning these services and the fees associated with the new service. All other fees applicable to your accounts remain in effect. |
| Section 15. Hours of Operation |
| NetConnect is available seven (7) days a week, 24 hours a day, except during maintenance periods or periods during which NetConnect otherwise is not operable. |
| Section 16. Your Rights and Liabilities for Personal Accounts |
Your rights and liabilities regarding losses that occur because your NetConnect ID or PIN is used without your permission, or with respect to errors, are outlined in the "Deposit Account Terms and Conditions" and in the "Electronic Funds Transfers Disclosure Statement" (Disclosures). In all other cases, or to expedite notice to us rather than using the number and address specified in the Disclosures, and to have your questions answered directly, contact us by one of the following methods:

| Section 17. Inactivity and Termination |
You may terminate your use of NetConnect at any time by:
If you are not paying a monthly fee for the service, we may terminate access if you do not sign on to NetConnect or have any transactions scheduled through the service for any consecutive ninety (90) day period. If your service is terminated for inactivity, you must contact us to have the NetConnect activated before you will be able to schedule any transactions through NetConnect. |
| Section 18. American State Bank & Trust Company''s Liability |
| Except as otherwise provided herein or by law, the Bank is not responsible for any loss, injury, or damage, whether direct, indirect, special, or consequential, caused by NetConnect Internet Banking or the use thereof or arising in any way out of the installation, use, or maintenance of your personal computer hardware or any software. |
| American State Bank & Trust Company will not be liable if someone other than you uses your Login ID and PIN to access your accounts or authorizes transactions on your account. |
